These Terms of Service ("Terms") govern your access to and use of the products and services provided by Permian Forge LLC ("we," "our," "us"), including IronHaul, IronGuard, IronLedger, and the Permian Forge website at permianforge.com (collectively, the "Services").
Important: By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
01Acceptance of Terms
By creating an account, accessing, or using the Services, you ("Customer," "you," "your") agree to these Terms. If you do not agree, you may not use the Services.
These Terms form a binding contract between you and Permian Forge LLC. You must be at least 18 years old and authorized to enter into contracts on behalf of yourself or your organization.
02Accounts & Access
Account Creation
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Organization Accounts
Your organization owns and controls the data created through its account. Account administrators may invite additional users, manage permissions, and remove access. Users invited to an organization are bound by these Terms as individual users of the Services.
Security
You must notify us immediately at legal@permianforge.com if you suspect unauthorized access to your account. You are responsible for losses caused by unauthorized use resulting from your failure to protect your credentials.
03Subscription & Payment
Fees
Use of the Services may require payment of subscription fees. Pricing will be communicated to you before you subscribe and is governed by the order form, quote, or pricing page in effect at the time of your subscription.
Billing
- Subscriptions are billed in advance on a monthly or annual basis, as selected.
- Fees are non-refundable except as required by law or as explicitly stated in these Terms.
- You authorize us to charge your payment method on each billing cycle until you cancel.
- Failure to pay may result in suspension or termination of access.
Taxes
Fees are exclusive of taxes. You are responsible for all applicable taxes, except for taxes on our net income.
Price Changes
We may change our prices with at least 30 days' notice before your next billing cycle. Continued use after the change constitutes acceptance.
04Your Data & Content
Ownership
You own your data. All business data you enter into the Services (tickets, invoices, vendor information, inspection records, and uploaded files, collectively "Customer Data") remains your property.
License to Us
You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Data solely to the extent necessary to provide, improve, and secure the Services for you.
Data Export
At any time during your subscription, you can export your Customer Data from the Services in common formats. Upon termination, you have 90 days to export your data before it is deleted.
Accuracy
You represent that you have all necessary rights, consents, and authority to submit the Customer Data to the Services. You are solely responsible for the accuracy, legality, and integrity of your Customer Data.
05Our Intellectual Property
The Services, including all software, designs, interfaces, logos, trademarks, documentation, and related materials, are owned by Permian Forge LLC and protected by U.S. and international intellectual property laws. Our brand names (including "Permian Forge," "IronHaul," "IronGuard," "IronLedger," and "Iron Suite") are our trademarks.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes, subject to these Terms. This license does not permit:
- Copying, modifying, or creating derivative works of the Services.
- Reverse engineering, decompiling, or attempting to extract source code.
- Reselling, sublicensing, or making the Services available to any third party.
- Using the Services to build a competing product or service.
- Removing or altering any proprietary notices, trademarks, or branding.
- Scraping, crawling, or automated data extraction beyond normal use.
Feedback you provide is freely assignable to us without compensation.
06Acceptable Use
You agree not to use the Services to:
- Violate any law, regulation, or third-party right.
- Upload malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to any portion of the Services.
- Interfere with or disrupt the Services or servers.
- Send spam, phishing, or unsolicited communications.
- Harass, abuse, or harm other users.
- Misrepresent your identity or affiliation.
- Collect data about other users without authorization.
Additional rules are outlined in our Acceptable Use Policy, which is incorporated by reference into these Terms. We may suspend or terminate accounts that violate these rules.
07Service Availability
We strive to keep the Services available and reliable but do not guarantee uninterrupted access. The Services may be temporarily unavailable for maintenance, updates, or reasons beyond our control.
We will make commercially reasonable efforts to provide advance notice of planned maintenance. We are not liable for downtime caused by third-party infrastructure providers, internet service failures, or force majeure events.
08Third-Party Services
The Services may integrate with or link to third-party services (for example, Supabase, Vercel, QuickBooks, email providers). We are not responsible for the content, availability, or practices of any third-party services. Your use of those services is governed by their own terms and privacy policies.
09Warranties & Disclaimers
Important Legal Notice
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The Services will meet your specific requirements.
- The Services will be uninterrupted, timely, secure, or error-free.
- Any results obtained from using the Services will be accurate or reliable.
- Defects will be corrected.
The Services are tools that help you manage your business operations. You remain responsible for the accuracy of your data, compliance with applicable regulations (including safety, transportation, tax, and environmental laws), and the decisions you make based on information provided by the Services.
10Limitation of Liability
Limitation Notice
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERMIAN FORGE LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
11Indemnification
You agree to indemnify, defend, and hold harmless Permian Forge LLC, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or connected with:
- Your use of the Services.
- Your Customer Data.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property or privacy rights.
- Your violation of applicable laws or regulations.
12Termination
Termination by You
You may cancel your subscription at any time through the Services or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial periods.
Termination by Us
We may suspend or terminate your access if you:
- Breach these Terms or our Acceptable Use Policy.
- Fail to pay fees when due.
- Engage in fraudulent, illegal, or harmful activity.
- Pose a security risk to the Services or other users.
For material breaches that can be cured, we will provide 30 days' notice to remedy the issue. For severe violations, we may terminate immediately.
Effect of Termination
Upon termination, your access to the Services ceases. You have 90 days to export your Customer Data. After 90 days, we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, liability limitations, indemnification, and governing law) will survive.
13Governing Law & Disputes
Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
Dispute Resolution
Before filing a claim, you agree to first contact us at legal@permianforge.com to seek an informal resolution. If the dispute is not resolved within 60 days, either party may proceed to formal resolution.
Venue
Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction and venue of such courts.
Waiver of Class Actions
To the fullest extent permitted by law, you and Permian Forge LLC waive the right to participate in any class action, class arbitration, or representative action. Claims must be brought on an individual basis.
14Changes to Terms
We may modify these Terms from time to time. Material changes will be communicated by email or via a notice in the Services at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
15General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, Cookie Policy, and any order forms or written agreements, constitute the entire agreement between you and Permian Forge LLC.
Severability
If any provision is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, pandemic, or government action.
Export Compliance
You agree to comply with all applicable U.S. export laws and regulations.
